Day Use Partner Agreement

This agreement is between Giovum, which operates SiestaNoche ("SiestaNoche", "we"), and the hotel that accepts it on its SiestaNoche hotel page ("the Hotel"). It covers rooms the Hotel sells for daytime use through SiestaNoche. The person who accepts it confirms they are authorized to bind the Hotel.
1. What the Hotel sells
The Hotel offers rooms for use during the hours it sets (a "day slot"), at the price it sets, all taxes the Hotel must collect included. The Hotel decides which days, hours, prices and how many rooms, and can change or close future slots at any time. Bookings already confirmed stay valid.
2. The Hotel is the merchant
Guests pay the Hotel. Every charge is made on the Hotel's own Stripe account and the Hotel appears as the merchant. The Hotel is responsible for collecting and remitting occupancy and other taxes on day use, for receipts, and for card disputes on its charges. SiestaNoche lists and markets day slots and runs the booking technology; it does not buy or resell rooms and does not hold guest funds.
3. Commission
SiestaNoche earns a commission on each booking's room price: 15% for founding Bay Area partners unless a different rate is shown on the Hotel's page when it accepts this agreement. The commission is taken automatically from each payment as a Stripe application fee. There is no setup or monthly fee. Stripe's processing fees on the Hotel's account are the Hotel's. If a booking is refunded in full under the free cancellation window, the commission is refunded too.
4. Instant bookings and requests
Rooms the Hotel makes available as instant are confirmed as soon as the guest pays, and the Hotel must honor them. When no instant room is left and the Hotel accepts requests, the guest's card is authorized but not charged, and the Hotel is notified by text and email. The Hotel has 15 minutes to accept or decline. On accept, the card is charged. On decline or no answer, the authorization is released and nothing is owed.
5. Blocking the room
For each confirmed booking, the Hotel blocks one room in its own system as it would for a walk in guest, has it clean and ready at the start of the slot, and may ask the guest to leave at the end of the slot. The Hotel's usual house rules apply, including ID checks, minimum age and incidental deposits.
6. Cancellations
Guests can cancel free of charge until 2 hours before the slot starts, for a full refund issued from the Hotel's account. After that, the booking is not refundable through SiestaNoche, and the Hotel may refund at its own discretion.
7. No shows
If the guest does not arrive, the Hotel keeps the payment and the commission applies.
8. If the Hotel can't honor a booking
If the Hotel cannot provide the room for a confirmed booking, it tells the guest and SiestaNoche at once and the guest is refunded in full, commission included. Repeated failures may lead to the Hotel's slots being paused.
9. Listing content and data
The Hotel lets SiestaNoche show its name, address, description and photos it provides in the SiestaNoche app, website and promotion of day use. The Hotel uses guest details it receives only to provide and support the stay, and keeps them secure. SiestaNoche handles guest data as described in its privacy policy.
10. Term and ending
Either party can end this agreement at any time by email to the other ([email protected] for SiestaNoche). Bookings confirmed before the end are honored under these terms. SiestaNoche may pause a listing that receives repeated guest complaints or chargebacks.
11. Changes
SiestaNoche may update this agreement with at least 30 days' notice by email. A new version applies once the Hotel accepts it on its hotel page; until then the version it accepted continues to apply.
12. Liability and law
Each party is responsible for its own acts and omissions. Neither party is liable to the other for indirect or consequential losses, and SiestaNoche's total liability under this agreement is limited to the commissions it received from the Hotel in the 12 months before the claim. This agreement is governed by the laws of the State of California.
